ProjElance.com as Website, obliges to protect personal data and confidential information of Clients and Contractors (Transferring party).
TERMS AND DEFINITIONS
Transferring party:The Customers and Contractors owning personal data and confidential information transferred by them to the Website Administration during registration and use of the Service.
Recipient party: Administration receives personal data and confidential information providing services to Clients and Contractors.
Confidential information: non-public information that is disclosed by the Transmitting Party to the Recipient Party. Such information may be marked “confidential”, but it may not have such a label, however, its content should be perceived as confidential.
Confidential data includes but is not limited to following:
information about the level of Transferring party’s technical development, as well as successful technical solutions and prospects of improvements in the field;
data about marketing or advertisement politics of the Transferring party about promotion of goods, works and services;
information about commercial politics or business plans including information about existing or planned projects or contractors;
information received from third parties that the Transferring party can’t disclose due to a non-disclosure agreement.
The information will not be considered confidential despite any possible marking if it:
Ownership, or generally accessible, and can’t lead to a violation of right or lawful interests of the Transferring party;
the Receiving party is aware of before registration of the Transferring party;
provided by Transferring party with a written remark that indicates information as non confidential;
concerns data on the fact of the Service use by the Transferring party.
Personal data: information or data about the Transferring party that can be used to identify the Party.
The categories of the parties’ personal information in the Service framework are the following:
First Name, Last Name and Middle Name;
Email address;
Date of birth;
Location;
Phone number;
Any other data which can be used to identify the owner.
1. GENERAL PROVISIONS
1.1 The purposes of collecting and processing the personal data and confidential information by the Recipient party are:
providing the Transferring party access to the Service solutions, information and materials located at the Website;
communication between the Parties;
successful realization of the subject of the Contract for the execution of works/services provided by Customers and Contractors using the Service.
2. NOTIFICATIONS
2.1 ProElance visitors who do not create an account are notified and agree that the Recipient Party is designated to collect certain information about such users, including URLs and IP addresses, etc., that were viewed during the visit. All this information is needed for internal use for better execution of the Service.
2.2 Only the confidential information and private data that are necessary to provide quality service is processed by Receiving party. All such information is not used for other purposes without Transferring party’s consent.
2.3 The Receiving party keeps confidential and private information as long as it’s required for mentioned purposes according to current Canadian legislation.
2.4 The Transferring party is admitted unlimited access to the confidential information and private data that belong to the mentioned party.
2.5 The Receiving party is not permitted to transfer confidential information and private data of the Transferring party to third parties without the agreement of the owners’ information except for cases when the information is required by law.
3. OBLIGATIONS
3.1 The Transferring party obliges to provide real and full information.
3.2 The receiving party obliges:
to use personal data and confidential information exclusively for the purpose of ensuring the efficiency of the Service and the implementation of the subject of the Contract for the execution of works/provision of services using Escrow Service;
not to disclose the confidential information to third parties except in cases specified by law;
not to use personal data and confidential information in the interests contrary to the purposes;
to restrain the amount of developers and other persons with access to personal data and confidential information, to make sure that they receive written agreements of non-disclosure and non-use of personal data and confidential information of the Transmitting Party;
to instantly notify the Transmitting Party of the revealed facts of unauthorized use or disclosure of personal data and confidential information, taking all necessary actions to prevent further unauthorized use or disclosure of such information;
to remove personal data and confidential information at the request of transferring party.
4. FINAL PROVISIONS
4.1 The users database of the website is formed by Administration exclusively for internal use only. Administration uses efficient and trusted software and tools to protect the database, and also responsible in cases of unauthorized access of third parties to this information as a result of unlawful action.
4.2 When deleting the Transmitting Party’s account, the personal data of that party is instantly deleted if the Transmitting Party has not previously been detected to have illegal actions on the Website and requested the Recipient Party by email.: support@projElance.com
